Sở Giao dịch Chứng khoán TP.HCM (HOSE) vừa ra thông báo hủy niêm yết cổ phiếu DIC từ 10/8 với khối lượng 26.585.840 cổ phiếu. Theo báo cáo tài chính do công ty tự lập, năm 2019, DIC đạt doanh thu 1.847 tỷ đồng, lợi nhuận sau thuế của công ty mẹ đạt -16 tỷ đồng. Thế nhưng báo cáo tài chính kiểm toán có sự chênh lệch lớn khi doanh thu là 1.842 tỷ đồng, lợi nhuận sau thuế của công ty mẹ là -64 tỷ đồng, chênh lệch -48 tỷ đồng so với số liệu do công ty tự lập. Như vậy, năm 2019, doanh thu tăng 561 tỷ đồng (tăng 44%) so với năm trước nhưng lợi nhuận sau thuế lại giảm 68 tỷ đồng (-3.207%).

Giải trình về kết quả này, ông Nguyễn Đức Hải, Tổng Giám đốc DIC cho biết: Trong năm 2019, tình hình kinh doanh xuất khẩu clinker (mặt hàng chính) gặp rất nhiều khó khăn, cạnh tranh mạnh từ các nước khu vực như Trung Quốc… Giá clinker giảm liên tục, hợp đồng xuất khẩu đã ký phải thực hiện nên doanh thu tăng nhưng lợi nhuận giảm, thậm chí lỗ, còn clinker thương mại nội địa cũng gặp khó khăn, giá mua gần bằng giá bán, để giữ khách hàng, đơn vị vẫn phải kinh doanh, kết quả lỗ và đơn vị phải trích dự phòng công nợ khó đòi.

Hiện nay, nguồn vốn hoạt động của DIC được tài trợ chủ yếu là nợ ngắn hạn chiếm 84% tổng nguồn vốn. Trong đó, vay và nợ thuê tài chính ngắn hạn là 894 tỷ đồng. Công ty dùng nguồn vốn này tài trợ cho các khoản phải thu ngắn hạn trị giá đến 916 tỷ đồng, chiếm 63% tổng tài sản nhưng nhiều khoản phải thu của công ty lại có vấn đề.

Vì sao công ty kiểm toán từ chối đưa ra ý kiến

Đơn vị kiểm toán báo cáo tài chính năm 2019 của DIC là Công ty TNHH Dịch vụ Tư vấn Tài chính Kế toán và Kiểm toán Việt Nam (AASCN). Đây là đơn vị kiểm toán của DIC trong nhiều năm liền và đã từ chối đưa ra ý kiến đối với báo cáo tài chính năm 2019.

Tới thời điểm phát hành báo cáo tài chính kiểm toán, AASCN chưa nhận được các thư xác nhận liên quan đến các khoản công nợ phải thu khách hàng ngắn hạn 302 tỷ đồng, trả trước cho người bán ngắn hạn khoảng 200 tỷ đồng, phải thu tạm ứng 38 tỷ đồng, phải thu khác ngắn hạn 28 tỷ đồng, phải trả người bán ngắn hạn 38 tỷ đồng, người mua trả tiền trước ngắn hạn 2,6 tỷ đồng, phải trả khác ngắn hạn 17 tỷ đồng.

Đối với khoản đầu tư hợp tác với Công ty TNHH Phát triển Công nghiệp trị giá 31 tỷ đồng từ năm 2014 đến nay thời hạn thực hiện đã hết nhưng các bên đã không thực hiện như nội dung đã cam kết trong hợp đồng. 

DIC đang ghi nhận giá trị đầu tư góp vốn vào công ty liên kết là CTCP Xi măng Yến Mai gần 33 tỷ đồng và CTCP Đầu tư Phát triển Xây dựng Minh Hưng với giá trị ban đầu 302 triệu đồng. Đến thời điểm phát hành báo cáo này, AASCN không nhận được các thư xác nhận về các khoản đầu tư góp vốn này nên không đánh giá được giá trị thuần cũng như không xác định được khả năng thu hồi các khoản đầu tư này.

Ngoài ra, đơn vị kiểm toán nhấn mạnh: Công ty có khoản công nơ phải thu Tập đoàn Điện lực Việt Nam (EVN) trị giá 171,9 tỷ đồng chưa được xác nhận nơ tại 31/12/2019. Đây là khoản công nợ liên quan đến hợp đồng cung cấp than nhập khẩu phục vụ chạy thử nhà máy Nhiện điện Vĩnh Tân 4. DIC đã khởi kiện và gửi lên TAND tỉnh Bà Rịa – Vũng Tàu để yêu cầu EVN thanh toán khoản công nợ này trị giá 209 tỷ đồng. TAND tỉnh Bà Rịa – Vũng Tàu đã thông báo thụ lý vụ án vào ngày 8/10/2019, triệu tập các bên tranh chấp để giải quyết lần 1 vào ngày 2/12/2019 và lần 2 vào ngày 6/5/2020. Đến thời điểm hiện tại, vụ việc vẫn đang trong quá trình xử lý và chưa có kết luận cuối cùng.

Cổ phiếu DIC có phiên giao dịch tại HOSE từ 28/12/2006 với giá đóng cửa 38.000 đồng/cổ phiếu. Đóng cửa ngày 10/7, DIC còn 1.620 đồng/cổ phiếu. Hiện nay, cổ đông lớn nhất của DIC là Tổng CTCP Đầu tư Phát triển Xây dựng (DIC Corporation) với tỷ lệ sở hữu 15,04%.

Từ đầu năm đến nay, HOSE đã hủy niêm yết bắt buộc đối với cổ phiếu HTT của CTCP Thương mại Hà Tây vào ngày 18/6, số lượng 20 triệu cổ phiếu và cổ phiếu LMH của CTCP Landmark Holding vào ngày 19/6, số lượng 25.629.995 cổ phiếu.

Cổ phiếu HTT và LMH bị HOSE hủy niêm yết bắt buộc đều cùng lý do: Tổ chức kiểm toán từ chối cho ý kiến đối với báo cáo tài chính năm gần nhất (năm 2019). Hiện nay, HTT và LMH đang giao dịch tại thị trường UPCoM. Đóng cửa ngày 10/7, HTT đạt 700 đồng/cổ phiếu, LMH đạt 600 đồng/cổ phiếu.
